Research Use Agreement
The following is the current agreement presented at checkout. Each purchase requires separate review, confirmations and a full-name electronic signature for that order. Reading this page does not sign an agreement.
01. Parties and acceptance for this order
This Research Use Only Agreement is between Morris Peppy ("Seller") and the buyer identified in this order ("Buyer" or "Researcher"). Contact: support@morrispeppy.com.
All products are supplied strictly for controlled in-vitro laboratory research. They are not supplied for human consumption, veterinary use, or clinical, therapeutic or diagnostic application on humans or living animals.
By reviewing this agreement, completing the confirmations and signing, you agree to these terms for the products and quantities in this order. Signing does not itself confirm stock availability or the Seller’s acceptance of the purchase. Order acceptance, payment, delivery and refunds remain subject to the applicable Terms and Conditions and mandatory law.
02. Qualified researcher representations
You represent and confirm that:
(a) You are a qualified researcher, scientist or laboratory professional, or have the knowledge and training necessary to conduct the stated bona fide research safely.
(b) You work with a legitimate research institution, educational facility or private research organization, or conduct legitimate independent laboratory research.
(c) You have access to appropriate laboratory facilities, safety equipment and procedures.
(d) Your buyer details, stated research purpose and any affiliation information you provide are truthful and accurate.
(e) You are authorized to purchase these materials and sign for the buyer identified in this order.
03. Prohibited uses
You must not:
(a) Inject, ingest, inhale, topically apply or otherwise administer any purchased product to a person, including yourself. Self-experimentation and self-administration are prohibited.
(b) Administer, inject, feed or otherwise introduce any product into a living animal, including for animal research. Permitted research is in vitro only; work with isolated cells or tissues does not authorize use in a living organism.
(c) Use products for clinical, therapeutic, diagnostic, cosmetic, bodybuilding, athletic performance, anti-aging or weight-loss applications on people or living animals.
(d) Compound, formulate or prepare substances intended for human or animal administration, or manufacture food, medicines, supplements, cosmetics, veterinary products or other consumer products from these materials.
(e) Resell, redistribute, transfer or gift products for prohibited uses, or supply them to someone without a legitimate laboratory research purpose and appropriate qualifications.
(f) Advertise, label or represent the products as suitable for human consumption, veterinary use or any other non-research application.
(g) Use, possess or transfer products in violation of applicable law.
The Seller supplies these materials as research reagents. This agreement does not determine or override their classification under applicable law.
04. Age and legal capacity
You certify that you are at least 21 years old, have the legal capacity to enter into this agreement and meet any higher applicable age requirement. This confirmation is required for every purchase.
05. Compliance with applicable law
Each party remains responsible for the laws and regulatory requirements applicable to its activities. You must ensure your purchase, possession, research, transportation, storage and disposal are lawful and obtain authorizations required for your activities. A research-use label or this agreement does not authorize an otherwise unlawful activity or replace required licences or permits.
06. Laboratory handling, storage and disposal
You acknowledge that research materials may present hazards and that improper handling or misuse may cause harm. You will:
(a) Use suitable protective equipment and laboratory safety procedures.
(b) Follow available product-specific handling and storage instructions and assess suitability for the proposed research.
(c) Keep materials secure and accessible only to appropriately trained research personnel.
(d) Dispose of materials and waste in accordance with applicable laboratory and environmental requirements.
(e) Seek clarification before handling a product if the safety or storage information supplied is insufficient.
You are responsible for your laboratory risk assessment and your own handling and use of the products.
07. No medical or clinical advice
Website content, product descriptions, analytical reports and communications from the Seller are provided for research information. They are not medical advice, prescribing instructions or recommendations for human or veterinary use. A Certificate of Analysis does not establish medical safety, therapeutic effectiveness or suitability for administration. Do not use this information to make treatment decisions.
08. Import, export and onward transfer
For cross-border orders or later transfers, each party must comply with the customs, trade restrictions, sanctions and permit requirements applicable to its activities. You must obtain authorizations required for your importation or onward transfer and must not request a prohibited shipment. The Seller does not represent that every product can lawfully be purchased or imported in every jurisdiction.
09. Patent and other intellectual-property rights
A purchase does not grant a patent licence or other intellectual-property rights except those arising under applicable law. You must assess whether your proposed research requires permission from a rights holder and obtain any necessary permission. Mandatory rights and remedies are not excluded.
10. Responsibility, indemnification and liability
To the extent permitted by applicable law, you are responsible for losses caused by your misuse, unlawful handling or material breach of this agreement.
You agree to indemnify the Seller against reasonably established third-party claims, losses and reasonable legal costs to the extent caused by your material breach, unlawful use or prohibited transfer of the products. This does not cover loss attributable to the Seller’s own negligence, fraud or breach. The Seller must promptly notify you of a claim, reasonably cooperate in its defence and take reasonable steps to reduce loss. Neither party may settle a claim by admitting liability or imposing obligations on the other without that party’s written consent.
To the extent permitted by applicable law, the Seller excludes liability for indirect or consequential losses arising from the Buyer’s misuse. This does not exclude liability for the Seller’s fraud, negligence or breach, or remove any rights or remedies that cannot lawfully be excluded.
11. Refusal, suspension and enforcement
If there are reasonable grounds to believe an order or use violates these restrictions, the Seller may request clarification, refuse the order, suspend fulfillment, cancel an unfulfilled order or restrict account access. Cancellation and any payment refund must be handled under the applicable Terms and Conditions and mandatory law; cancellation does not automatically forfeit payment.
The Seller may disclose relevant information to competent authorities where required or permitted by law and consistent with its Privacy Policy. The Seller may pursue lawful remedies for a material breach. This agreement does not authorize unrestricted disclosure of personal data.
12. Electronic signature and separate acceptance for every purchase
By typing your full name and selecting “Sign agreement for this order”, you acknowledge that you have read and agree to this agreement, intend your typed name to be your electronic signature and confirm your authority to sign for the buyer.
Acceptance applies only to this order. Account creation, an earlier purchase or an earlier signature does not constitute acceptance for a later order. Every new purchase requires fresh confirmations and a fresh signature. Changes to the buyer, products, quantities, charges or agreement before submission require review and signature again.
The Seller will retain the exact accepted wording and version, order details, typed signature, signing confirmations and timestamps with the order under its Privacy Policy. A signed copy will be available to download. Electronic acceptance is subject to applicable Philippine law; a typed signature is not a claim of independent identity verification.
13. Complete agreement and governing law
This agreement and the Terms and Conditions presented for the order govern the purchase and research-use restrictions. The Privacy Policy explains personal-data handling. These documents do not exclude mandatory rights or override applicable law.
Philippine law governs, subject to mandatory laws that apply. Later website changes do not rewrite an agreement already signed for an earlier order. The accepted versions must remain associated with that order. Any change to agreed terms requires the parties’ agreement where the law requires it.
